Terms of Service
Effective date: 2026-06-03
These terms govern your access to and use of Agent X and its agents, and the torquex.ai website (collectively, the "Service"), operated by torqueX Technologies Pvt. Ltd. ("Torquex", "we").
01 Who may use the Service
You must be 16 or older and able to form a binding contract. If you accept these terms on behalf of a company, you represent that you have authority to bind it.
02 Your account
- Provide accurate registration information; keep it current.
- You are responsible for activity under your account, including your team members' actions on your tenant.
- Don't share credentials. Use the team-invite flow.
03 Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source of the Service.
- Use the Service to violate any law or third-party right.
- Send unsolicited bulk email through any integrated channel (Gmail, SendGrid, etc.).
- Upload malware, infringing content, or material that violates applicable export controls.
- Resell or sublicense the Service without our written consent.
- Attempt to circumvent rate limits, quota enforcement, or access controls.
- Use the Service to build a competing product.
04 Your content
You retain ownership of all content you upload or connect (customer records, contacts and prospect lists, and the outreach messages and campaign content you create — collectively, "Customer Content"). You grant Torquex a limited licence to host, process, and display Customer Content solely to provide the Service to you.
05 AI features
The Service uses third-party language models (Cerebras / OpenRouter / Anthropic, among others) to draft outreach, research accounts, extract data from documents, summarise content, and take the actions you configure. You are responsible for reviewing AI-generated output before it is sent to a customer or prospect or treated as authoritative. The Service is designed to propose; you approve.
06 Subscription, fees, refunds
- Paid plans bill in advance (monthly or annual).
- Fees are non-refundable except where required by law.
- We may change pricing with 30 days' notice; existing paid terms are honoured to the end of the current period.
- Annual plans renew automatically; cancel before renewal to avoid charges.
07 Suspension and termination
We may suspend or terminate your access if you breach these terms, violate applicable law, or create risk of harm to the Service or other users. We will give you reasonable notice and an opportunity to cure where feasible. You may close your account at any time from account settings.
Upon termination:
- Customer Content is exportable for 30 days.
- Permanent deletion follows the timeline in the Privacy Policy §5.
08 Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, non-infringement). We do not guarantee uptime outside the specific SLA in your enterprise contract (if any).
09 Limitation of liability
To the maximum extent permitted by law, neither party's liability for indirect, incidental, consequential, or punitive damages exceeds the fees you paid in the 12 months preceding the claim.
10 Indemnification
You will indemnify Torquex against third-party claims arising from (i) your Customer Content, (ii) your use of the Service in violation of these terms, (iii) your violation of applicable law.
11 Governing law and disputes
These terms are governed by the laws of India (Bengaluru jurisdiction), except where local mandatory law applies. EU consumers retain the protections of their member-state law.
12 Changes to these terms
We will email account owners at least 30 days before any material change. Continued use after the effective date constitutes acceptance.
